1. Acceptance of Terms

Welcome to CitySpot! These Terms of Service ("Terms") govern your access to and use of CitySpot's website, mobile application, and services (collectively, the "Platform"). By creating an account or using our Platform, you agree to be bound by these Terms.

If you do not agree to these Terms, you may not use the Platform. We reserve the right to modify these Terms at any time, and changes will be effective upon posting. Your continued use of the Platform after changes are posted constitutes acceptance of the modified Terms.

2. Description of Service

CitySpot provides a comprehensive local platform offering:

• Business Directory: Search and discover local businesses with reviews, photos, and contact information
• Food & Grocery Delivery: Order from local restaurants and stores with delivery or pickup
• Service Marketplace: Request quotes from verified local service providers
• Events Discovery: Find and attend local events, activities, and happenings
• Community Features: Connect with neighbors through posts, reviews, and recommendations

3. User Accounts

3.1 Account Creation

To use certain features of the Platform, you must create an account. You agree to provide accurate, current, and complete information during registration and to update this information as needed.

3.2 Account Security

You are responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account. You agree to notify us immediately of any unauthorized use.

3.3 Account Restrictions

You must be at least 18 years old to create an account. One person may not maintain multiple accounts.

4. User Conduct

You agree NOT to:

• Violate any laws or regulations
• Post false, misleading, or fraudulent content
• Harass, abuse, or harm other users
• Impersonate any person or entity
• Interfere with or disrupt the Platform
• Scrape, crawl, or harvest data from the Platform
• Use the Platform for unauthorized commercial purposes
• Post spam, advertisements, or promotional content without permission
• Upload viruses, malware, or harmful code
• Attempt to gain unauthorized access to any systems or accounts

5. Content and Intellectual Property

5.1 Your Content

You retain ownership of content you post ("User Content"). By posting content, you grant CitySpot a worldwide, non-exclusive, royalty-free license to use, reproduce, modify, and display your content in connection with operating the Platform.

5.2 Platform Content

All content on the Platform, including text, graphics, logos, and software, is owned by CitySpot or its licensors and protected by copyright, trademark, and other laws. You may not copy, modify, or distribute this content without permission.

5.3 Reviews and Ratings

Reviews must be based on genuine experiences. We reserve the right to remove reviews that violate these Terms, are fraudulent, or contain prohibited content.

6. Delivery Services

6.1 Orders

When you place a delivery order, you're entering into a contract with the merchant. CitySpot acts as an intermediary facilitating the transaction.

6.2 Pricing and Payment

Prices are set by merchants and may change without notice. You agree to pay all charges including delivery fees, service fees, and taxes. Payment is processed at checkout.

6.3 Cancellations and Refunds

Orders can be cancelled before merchant acceptance. After acceptance, refunds are at merchant discretion. Contact support for issues with orders.

7. Service Provider Marketplace

7.1 Service Requests

When you request services, your information is shared with relevant providers who may send quotes. You are not obligated to hire any provider.

7.2 Provider Verification

While we conduct background checks and verification, you should exercise your own judgment when hiring providers. Read reviews, compare quotes, and ask questions.

7.3 Payment and Disputes

Payment terms are agreed upon between you and the provider. CitySpot is not responsible for quality of services or payment disputes.

8. Business Accounts

8.1 Listing Requirements

Businesses must provide accurate information and comply with all applicable laws and regulations. False or misleading listings may be removed.

8.2 Commissions and Fees

Restaurants participating in delivery pay a commission per order (currently 28%). Service providers may pay per lead or subscription fees as selected.

8.3 Reviews and Ratings

Businesses may respond to reviews but may not offer incentives for positive reviews or attempt to manipulate ratings.

9. Driver Accounts

9.1 Independent Contractors

Drivers are independent contractors, not employees of CitySpot. You control your schedule and accept deliveries at your discretion.

9.2 Requirements

Drivers must maintain valid licenses, insurance, vehicle registration, and pass background checks. Continued compliance is required.

9.3 Earnings

Earnings consist of delivery fees and tips. Payments are processed weekly. You're responsible for taxes as an independent contractor.

10. Disclaimers and Limitations of Liability

10.1 Platform "As Is"

THE PLATFORM IS PROVIDED "AS IS" WITHOUT WARRANTIES OF ANY KIND. WE DO NOT GUARANTEE UNINTERRUPTED, SECURE, OR ERROR-FREE OPERATION.

10.2 Third-Party Content

We are not responsible for content posted by users, accuracy of business information, quality of products or services, or actions of delivery drivers or service providers.

10.3 Limitation of Liability

TO THE FULLEST EXTENT PERMITTED BY LAW, CITYSPOT SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES ARISING FROM YOUR USE OF THE PLATFORM.

11. Indemnification

You agree to indemnify and hold harmless CitySpot from any claims, damages, or expenses arising from your use of the Platform, your User Content, or your violation of these Terms.

12. Dispute Resolution

12.1 Informal Resolution

Before filing any legal action, you agree to attempt to resolve disputes by contacting us at [email protected].

12.2 Arbitration

Any disputes that cannot be resolved informally shall be resolved through binding arbitration in accordance with the American Arbitration Association rules.

12.3 Class Action Waiver

You agree to resolve disputes on an individual basis and waive the right to participate in class actions or class arbitrations.

13. Termination

We may suspend or terminate your account at any time for violation of these Terms or for any reason. You may delete your account at any time through account settings.

14. Governing Law

These Terms are governed by the laws of the State of North Carolina, without regard to conflict of law principles. Jurisdiction and venue for any disputes shall be in North Carolina.

15. General Provisions

15.1 Entire Agreement

These Terms, along with our Privacy Policy, constitute the entire agreement between you and CitySpot.

15.2 Severability

If any provision of these Terms is found invalid, the remaining provisions shall remain in effect.

15.3 Assignment

You may not assign these Terms. We may assign our rights and obligations without notice.

15.4 No Waiver

Failure to enforce any provision does not constitute a waiver of that provision.
